Emaar Development Buyout Offer Values Arm At AED 60bn, 25% Below Peak

Staff Writer by Staff Writer
November 4, 2026
Dubai Marina towers as Emaar Properties proposes the Emaar Development buyout

Dubai, UAE — Emaar Properties wants the 21% of Emaar Development it does not already own. The offer is AED 15 a share, which values the listed development arm at AED 60 billion ($16.3 billion). That price is a 7.9% premium to Tuesday’s close, but about 25% below the record the stock set in February.

For Indian readers, the premium is the number to notice. A promoter delisting a company in India through SEBI’s fixed-price route has to offer at least 15% above the floor price. The two markets have different rules, so the comparison is not exact, but Emaar is offering half that.

Emaar Development Buyout Costs AED 12.6 Billion For The Last 21%

Emaar Properties holds just over 79% of Emaar Development, so the Emaar Development buyout would cost about AED 12.6 billion ($3.4 billion), Arabian Business reported, citing Bloomberg. The last close before the offer was AED 13.90.

Analysts at CI Capital said in a note that full ownership would make strategic sense, mainly for how the parent deploys capital. Emaar has not said when the offer would be put to minority shareholders or what acceptance level it needs.

Emaar Development listed on the Dubai Financial Market in 2017, raising about AED 4.77 billion. In 2021, Emaar took Emaar Malls private through an all-share deal. The Emaar Development buyout would follow the same route of folding a listed unit back into the parent.

AED 6.7 Billion Profit In Six Months

The business being bought is earning well. Emaar Development reported first-half net profit of AED 6.7 billion, up 43%, on revenue of AED 13.3 billion. Property sales were AED 22.4 billion, and its revenue backlog reached AED 127.7 billion at the end of June.

The offer values the company at about nine times its half-year profit. If the second half matches the first, that is under five times annual earnings, by Invest Dubai Today’s calculation. Minority shareholders may see that as a low price for a company with a backlog that large.

Buying Back At A Discount To February’s Peak

Timing explains much of the price. Dubai’s property shares fell after the regional conflict hit sentiment, and the wider market has slowed. Third-quarter residential sales fell 47% in value from a year earlier, consultancy Cavendish Maxwell has said.

A parent that buys out minorities when its shares are 25% off their high is buying cheaply. For Emaar, the Emaar Development buyout brings in all of the development cash flow, which it can then direct towards rental assets, overseas projects and dividends.

Emaar’s own ownership changed in May. A company controlled by Dubai’s ruler bought a stake worth AED 23.87 billion from the emirate’s main investment vehicle.

Gurugram Is The Part Of Emaar Indians Know

For most Indian buyers, Emaar means Emaar India, with projects in Gurugram, Mohali and Jaipur. In 2025, Emaar held talks with Indian groups including Adani about selling a stake in that business, at a reported valuation of about $1.4 billion. In September 2025, Emaar told the Dubai Financial Market it was “no longer considering sale of any stake in its Indian entity,” and said it was open to joint ventures.

The Emaar Development buyout does not change Emaar India directly. It does leave more of the group’s cash under one owner as Emaar looks at expansion abroad.

The 15% Rule An Indian Promoter Would Face

India’s delisting rules show how minority investors there are protected. Under amendments SEBI notified in September 2024, an acquirer of frequently traded shares can offer a fixed price at least 15% above the floor. The offer succeeds only if the acquirer reaches 90% ownership.

Indian residents who bought Emaar Development shares through the Liberalised Remittance Scheme would receive dirhams if they tender. Each person can send up to USD 250,000 a year under LRS, and remittances above Rs 10 lakh attract 20% tax collected at source. Any gain is taxable in India. The dirham has gained about 6.8% against the rupee this year, which adds to the rupee value of the offer.

Minority Pushback Could Stall The Emaar Development Buyout

The risk for Emaar is that minority holders reject AED 15 as too low, given the profit and backlog. The risk for those holders is the opposite. If the offer fails, they keep shares that still trade well below February’s price, in a market where sales are slowing and supply is rising.

Watch The Acceptance Terms And Q3 Results

The formal offer document for the Emaar Development buyout should set out the acceptance threshold and timetable. Emaar Development’s third-quarter results will show whether profit kept pace in a weaker market, which will shape how minority holders judge the price.

A Cheaper Exit For Minorities Than India Would Allow

For investors, the Emaar Development buyout is a bet by the parent that Dubai property is cheap after this year’s fall. End-users buying Emaar homes are unaffected, since the same company keeps building. For Indian investors, the 7.9% premium is low next to the 15% India requires on fixed-price delistings. Indian buyers in Gurugram should note that Emaar India stays outside this deal.
